02.Service Description

Nudgepe is an invoice reminder service designed to streamline accounts receivable. Our platform allows users to:

  • add_taskCreate and manage digital invoices seamlessly
  • auto_modeSchedule automated payment reminder emails
  • mailConnect Google or Outlook accounts for sending
  • analyticsTrack delivery and open rates for reminders

The Service facilitates the sending of reminder emails but does not process payments directly, handle financial transactions, or guarantee payment collection.

03.User Responsibilities

As a user of Nudgepe, you are solely responsible for:

Maintaining the absolute security and confidentiality of your account credentials.

Ensuring the accuracy of invoice information and client details provided to the platform.

Complying with all applicable local, national, and international laws and regulations when sending emails.

Obtaining necessary permissions before sending emails to recipients.

Ensuring that your use of the Service does not violate any third-party rights.

Using the Service in a lawful and ethical manner consistent with industry standards.

04.Email Sending Responsibility

When you use Nudgepe to send emails, you acknowledge and agree that:

  • check_circleEmails are sent directly from your connected email account (Google or Outlook).
  • check_circleYou are solely responsible for the content, tone, and frequency of emails sent.
  • check_circleYou must ensure compliance with anti-spam laws, including but not limited to CAN-SPAM Act and GDPR.
  • check_circleYou are responsible for maintaining proper email authentication and reputation.
  • check_circleNudgepe is not responsible for emails marked as spam, blocked, or undelivered by recipients.
  • check_circleYou must not use the Service to send unsolicited, harassing, or illegal content.

05.OAuth Account Access

By connecting your Google or Outlook account, you grant Nudgepe permission to:

  • Send emails on your behalf using your connected account
  • Access OAuth tokens necessary for email sending functionality

You may revoke this access at any time through your account settings or by disconnecting your OAuth account. Nudgepe does not access, read, or store your inbox emails, contacts, or calendar data.

06.Prohibited Uses

You agree not to use the Service to:

  • Send spam, phishing emails, or any malicious content
  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Harass, threaten, or harm others
  • Impersonate others or provide false information
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service

07.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Nudgepe is provided "as is" and "as available" without warranties of any kind, either express or implied
  • Nudgepe does not guarantee that the Service will be uninterrupted, error-free, or secure
  • Nudgepe is not responsible for any loss of data, revenue, or business opportunities resulting from use of the Service
  • Nudgepe is not liable for any damages arising from your use or inability to use the Service, including but not limited to direct, indirect, incidental, punitive, or consequential damages
  • Nudgepe is not responsible for payment collection, payment processing, or any financial transactions
  • Nudgepe is not liable for emails that are undelivered, marked as spam, or blocked by recipients

08.Indemnification

You agree to indemnify and hold harmless Nudgepe, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms of Service
  • Your violation of any rights of another party
  • Content you send through the Service

09.Service Modifications and Termination

Nudgepe reserves the right to:

  • Modify, suspend, or discontinue the Service at any time, with or without notice
  • Update these Terms of Service at any time
  • Terminate or suspend your access to the Service for violation of these terms

You may terminate your account at any time by deleting your account through the Service settings. Upon termination, your access to the Service will cease, and we will delete your data in accordance with our Privacy Policy.

10.Intellectual Property

The Service and its original content, features, and functionality are owned by Nudgepe and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

11.Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable international laws, without regard to conflict of law provisions. Any disputes arising from these terms or your use of the Service shall be resolved in accordance with the laws applicable to your jurisdiction.

12.Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new terms.
